Terms of Service

1. Acceptance of Terms

By accessing or using our website at www.nown.digital (the “Site”) or purchasing any of our services, you (“you” or “Client”) agree to these Terms of Service (“Terms”). If you do not agree, please do not use the Site or our services.

2. Services

We offer digital services including, but not limited to:

  • Website development and hosting
  • Brand identity, logo & graphic design
  • Business consulting
  • Social media management & content creation

You may purchase one-off projects or subscribe to a monthly, quarterly, or annual plan (each a “Subscription”).

3. Accounts

Clients must create a password-protected account to access certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

4. Billing, Payment & Refunds

  • Billing Cycles: Monthly, quarterly, or annual, as selected at signup.
  • Termination: Either party may terminate a Subscription with at least 30 days’ advance notice. Services will continue through the end of the paid period and then cease.
  • Payment Processor: Square is our primary processor; we may use PayPal for select transactions. We do not store payment information on our servers.
  • Refunds: No refunds are offered except if we fail to deliver the contracted services as outlined or in the event of unforeseen circumstances beyond our control.
  • Late Payments:
    • If any payment is more than 7 days overdue, a $15 late fee will apply.
    • If any payment is more than 30 days overdue, we reserve the right to suspend all services until all outstanding amounts (including late fees) are paid in full.

5. Intellectual Property

Upon full payment, all deliverables (website code, logos, designs) are your property in perpetuity. We retain the right to publicly display any final deliverables in our portfolio—unless the work is for a private/internal use case not meant for public view.

6. Client Data & Privacy

We collect only the personal data needed to provide our services (e.g., name, email, billing address). We use Google Sites/Firebase cookies and basic Google Analytics for site performance (no user-level tracking). You may opt in to an email newsletter (1–4 emails/month). You can unsubscribe at any time. We never sell your data to third parties.

7. Third-Party Services

We rely on Google Sites, Firebase Studio, and payment processors (Square, PayPal). Our use of those services is subject to their own terms and privacy practices.

8. Compliance with Privacy Laws

We serve clients in the U.S. and the U.K. Accordingly, our Privacy Policy includes both GDPR and CCPA disclosures.

9. Dispute Resolution & Governing Law

  • Governing Law: Colorado law governs these Terms, without regard to conflict-of-law principles.
  • Binding Arbitration: Any dispute shall be resolved by confidential binding arbitration under the American Arbitration Association’s rules. You and we both waive the right to a jury trial or class-wide arbitrations.
  • Location: The arbitration shall take place in Durango, Colorado, unless you and we agree otherwise.

10. Limitation of Liability & Disclaimer of Warranties

  • Disclaimer: Services are provided “AS IS” and “AS AVAILABLE.” We make no warranties of any kind, express or implied.
  • Limitation: To the maximum extent permitted by law, Nown Digital’s total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you for the specific service giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Nown Digital and its affiliates, officers, and employees from any claim or demand arising out of your use of our services or violation of these Terms.

12. Modifications

We may update these Terms at any time. If the changes are material, we’ll notify you via email or by posting a notice on the Site. Your continued use constitutes acceptance of the revised Terms.
